Directions Engineering Inc. Individual Contract Worker Code of Conduct Agreement
I understand that my employer, Directions Engineering, Inc., enters into service agreements with their clients to provide contract and direct IC Layout Design services. In connection with these agreements my employer desires to assign me to perform services for said clients. As an employee of Directions Engineering, Inc., I understand that, in order to protect Directions Engineering, Inc. and the clients' integrity, I agree to the following statements below before I will be allowed to perform any service for Directions Engineering, Inc.
1. I understand that Directions Engineering, Inc. places a high priority on legal and ethical business conduct.
2. At all times during the performance of my services for Directions Engineering, Inc. I will comply with all applicable laws.
3. I agree not to request, solicit, or accept any bribe, kickback, lavish gift, gratuity or illegal payment from any source.
4. I agree not to offer or provide any bribe, kickback, lavish gift, gratuity or illegal payment to any party involved in business with Directions Engineering, Inc. including but not limited to their employees, sub-vendors and clients.
5. I agree to make business decisions based on the best interests of Directions Engineering, Inc. and their client, not any personal considerations or relationships.
6. I agree to not use any illegal or unethical methods to gather competitive information.
7. I agree to record all business information honestly and accurately and to retain it according to Directions Engineering, Inc. and the clients' policies.
8. I agree not to employ or solicit any Directions Engineering, Inc. employee or client in any way, directly or indirectly, which could compromise such employee's loyalty or client's loyalty to Directions Engineering, Inc.
9. I agree not to buy or sell, or recommend to others to buy or sell, any security or other interest in property based on knowledge I obtain while performing services for Directions Engineering, Inc.
10. I understand that, though I work for Directions Engineering, Inc. on the client's site, Directions Engineering, Inc. is my employer and I am entitled to employee benefits from Directions Engineering, Inc. and not the client.
11. I understand that Directions Engineering, Inc. is my employer and I agree not to discuss any employment-related issues with other employees, sub-vendors or clients of Directions Engineering, Inc.
12. I understand that Directions Engineering, Inc. has a zero tolerance policy regarding drinking alcohol while on company time. Regardless if provided/offered by the client, I agree not to consume alcohol during paid hours.
13. I agree that should I choose to leave Directions Engineering, Inc.'s employment I will give a 2 week notice and I understand that I may not return to work for Directions Engineering, Inc.'s client, without Directions Engineering, Inc.'s representation, for a minimum of 6 months after my release date.
14. I agree to consult Directions Engineering, Inc. management if I have any questions about this agreement, or any other legal or ethical aspect of my work for Directions Engineering, Inc.
